Thank you for choosing All I Want as your go-to online marketplace. These Terms of Service (“Terms”) govern your use of All I Want Mobile App, Website, and other online products and services (collectively, the “Services”). By accessing or using our Services, you agree to be legally bound by these Terms. If you do not agree to these Terms in their entirety, do not access or use our Services.
These Terms of Service ("Terms") constitute a binding agreement between All I Want, Inc. ("All I Want," "we," "us," or "our") and you ("you," "your," or "Yours"). The purpose of this document is to provide a comprehensive set of rules, policies, and procedures that outline your rights and responsibilities while using our Services.

1. Eligibility: By using our marketplace, you represent and warrant that you are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater. You also represent and warrant that you have the legal capacity to enter into this agreement and comply with its terms. Accounts in our marketplace can only be opened by individuals who can form legally binding contracts under applicable law. If you do not meet these eligibility requirements, you are not authorized to set up an account on our marketplace. 
2. Acceptance of Terms By accessing and using , you confirm that you have read, understood, and agreed to be bound by the terms and conditions of this Agreement, as well as our Privacy Policy, and rules which are incorporated into this Agreement by reference. If you do not agree to be bound by this Agreement or our Privacy Policy, you may not use the All I Want platform.
3. Registration and User Accounts To use All I Want, you must create an account and provide accurate and complete information as well as keep it always updated. You are solely responsible for maintaining the confidentiality of your account information, and for all activities that occur under your account. All I Want reserves the right to suspend or terminate your account, or to refuse service to anyone, at any time and for any reason.
4. When using All I Want's internet-based marketplace and engaging with other users online or in person, you acknowledge and agree that certain risks are inherent. Such risks may include, but are not limited to, fraudulent activities, misrepresentations, and physical harm resulting from in-person interactions. By using our Services, you agree to assume all risks associated with such interactions and acknowledge that All I Want shall not be liable for any damages or losses resulting from your use of our platform or interactions with other users. We strongly encourage you to exercise caution and conduct appropriate due diligence before engaging in any transactions or in-person meetings with other users.
5. Description of Service 
• All I Want is a marketplace platform where users can request, buy, sell and exchange new or used items, and connect with other users for the purpose of facilitating transactions. All I Want is not responsible for the quality, safety, or legality of the items sold on the platform, nor for the accuracy or reliability of the information provided by users.
• Users can browse and search through a wide variety of product listings, create their own listings to sell or swap products, and communicate with other users through our messaging system to negotiate and finalize transactions.
• We facilitate transactions between users by providing a secure payment system. 
• We Offer a shipping label service that users can purchase for shipping their items to one another. 
• We also offer a rating and review system for buyers and sellers to rate their experiences and help build trust within the community.
• All I Want platform includes a "following" and "followers" feature, which allows users to connect with each other and receive updates on their activities. You can also see the products they have for sale and their buying and selling history. This feature is designed to create a sense of community and to help users discover new products and sellers on the platform.
• Our platform is designed to promote sustainability by encouraging the reuse and repurposing of products, reducing waste, and contributing to a circular economy. 
• We also provide resources and information to help users make informed decisions about buying and selling used products, including tips for inspecting and evaluating product condition, and information on product safety and recalls.
• Our platform offers a digital wallet feature, which allows you to store funds in your account to make purchases and receive payments for items you have sold. Your wallet balance will be maintained by us and can be viewed in your account. 
• Our platform includes a message center feature that allows users to communicate with each other in real-time. By using our message center, you agree to use it solely for the purpose of communicating about transactions on our platform. You may not use the message center to send spam, harass other users, or for any other unauthorized purposes.
• We reserve the right to monitor all communications made through our message center and to take appropriate action, including suspending or terminating your account, if we determine that you have violated this clause or any other provision of our Terms of Service.
• We are not responsible for the content of any messages sent through our message center, and we do not guarantee the accuracy, completeness, or usefulness of any information communicated through this feature. You agree to use our message center at your own risk and to take all necessary precautions to protect yourself and your information.
• By using our platform's message center, you agree to receive notifications and messages from us, including transaction-related messages and other important information about your account.
• All I Want provides a dashboard feature that allows you to control all your activities on the platform. Through the dashboard, you can view and manage your listings for sale and swap, respond to requests from other users, track your purchase history, view your balance and transaction history, and access a list of available coupons. The dashboard is designed to provide you with easy access to all the information you need to efficiently use the platform.

6. Content Clause:

• All I Want respects the intellectual property rights of others and expects you to do the same. You agree that you will not use our services to upload, post, transmit, or otherwise make available any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
• You acknowledge that All I Want does not pre-screen or approve all content, but that All I Want has the right (but not the obligation) to remove or disable access to any content that violates these Terms of Service or is deemed objectionable by All I Want in its sole discretion.
• You also agree that any content you provide to All I Want through our services, including but not limited to feedback, suggestions, or ideas, will be considered non-confidential and non-proprietary. By submitting any such content, you hereby grant All I Want a perpetual, royalty-free, worldwide, irrevocable, and non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content (in whole or in part) and/or to incorporate it in other works in any form, media, or technology now known or later developed, without any compensation to you.
• You warrant that any content you provide to ALL I WANT is your original work and that you have all necessary rights to grant the licenses and permissions specified in these Terms of Service. You also agree to indemnify and hold harmless ALL I WANT, its affiliates, and their respective officers, directors, employees, and agents from any claims arising out of or relating to your breach of this content clause or your violation of any third party's intellectual property rights.


7. Scope of License:
• All I Want grants you a limited, non-exclusive, non-transferable, and revocable license to use the All I Want application and services, subject to your compliance with these Terms of Service.
• This license allows you to use the mobile application and services solely for your personal or commercial use, and you may not copy, modify, distribute, sell, or transfer any part of the mobile application or services.
• All I Want reserves the right to modify, update, or discontinue the application and services, or any part thereof, at any time without notice. 
• All I Want also reserves the right to impose limits on certain features and services or restrict your access to parts or all the application and services without notice or liability.
• Your use of the mobile application and services does not give you ownership of any intellectual property rights in the mobile application or services, including without limitation any logos, trademarks, and copyrights. 
• All rights not expressly granted to you in these Terms of Service are reserved by All I Want.

8. User Conduct By using , you agree to:
• Comply with all applicable laws and regulations;
• Provide accurate and complete information about yourself and the items you are selling;
• Communicate with other users in a courteous and respectful manner;
• Not engage in any fraudulent or deceptive activity;
• Not make transactions outside of the  platform;
• Not post any content that is illegal, abusive, threatening, defamatory, obscene, or otherwise objectionable;
• Not use  to harass or harm other users, or to solicit personal information from them;
• Not interfere with the proper functioning of , or attempt to circumvent any security or access restrictions;
• Not use  for any commercial purpose other than requesting, buying, selling, or exchanging items through the platform.

You agree to comply with all of these policies, which are incorporated by reference into these Terms of Service. In the event of any conflict between these Terms of Service and any of the policies listed above, these Terms of Service will govern. The Help Center hosts all the Policies listed above and additional information about products and services. Help Center can be accessed directly from the menu section of the App.

10. Service and Processing Fees:
• All I Want lets you browse, make offers, search for trending items, and post requests and list items for sale or swap at no cost to you. 
• A service fee of 10% on the sold item price will be charged to the seller only upon the successful completion of a sale. The fee will be deducted from the amount the seller is to receive from the sale.
• For each successful sale, a payment processing fee of 2.9% of the total transaction amount, plus $0.50, will be charged. The fee is only applicable upon the successful completion of a sale. The fee will be deducted from the amount the seller is to receive from the sale.
• Swaps between items of equal value that do not involve any monetary exchange will not incur any fees.
• If a swap involves money to balance the transaction, a service fee of 10% will be charged on the amount paid and a processing fee of 2.9% of the money transaction plus $0.50 will be charged upon successful completion of the swap. The fees will only be deducted from the amount the seller is to receive from the swap.
• Before accepting the final transaction acceptance, it is the user's responsibility to review the fees involved.

11. Other Fees
Cancellation Fees:
Sellers may be charged a cancellation fee of up to 5% of the item's price, capped at $25, if they frequently cancel orders after accepting an offer. The fee covers transaction fees, operational costs, and shipping label expenses. If a Seller continues to cancel orders repeatedly, their listings may be removed, and their account may be restricted. If a seller is charged a cancellation fee, it will either be deducted from their balance, credit card or they will receive a payment link within 30 days of being notified.

Legal Fees:
All I Want prioritizes the privacy and confidentiality of its customers and will only disclose information with a valid legal request, as outlined in their policy for law enforcement and government agencies. However, the company may charge legal processing fees of $25 per hour, which can be deducted from their balance, credit card or they will receive a payment link within 30 days of being notified. These fees cover the processing of legal documentation such as subpoenas, court orders, or search warrants.

12. Payments
• All payments made on our platform will be processed through Stripe, a third-party payment processor.  Stripe Connect is a platform provided by Stripe, Inc. that allows third-party sellers to accept payments directly from customers through our platform. By using Stripe Connect, sellers can create and manage their own Stripe accounts, connect them to our platform, and receive payments for their goods or services.
• To use Stripe Connect, sellers must agree to Stripe's terms of service and privacy policy. (www.stripe.com) We do not have control over Stripe's terms and policies, but we require sellers to comply with them in order to use Stripe Connect on our platform.
• We may collect and transmit certain information to Stripe in order to facilitate payments, such as the seller's name, email address, and transaction details. We are not responsible for any errors, omissions, or delays in payment processing by Stripe.
• By using Stripe Connect on our platform, sellers agree to indemnify and hold us harmless from any liability arising out of their use of Stripe Connect or their breach of Stripe's terms of service or privacy policy.
• We reserve the right to terminate a seller's access to Stripe Connect at any time for any reason, and we may disclose any information necessary to comply with legal requirements or protect our rights or the rights of our users.
• Please note that Stripe may charge fees for their services, which will be deducted from the seller's payment.

13. Records and Receipts
• All I Want will maintain transaction records and provide receipts for each transaction conducted on the platform.
• In case of any discrepancies in the transaction or any other issues, customers can contact customer service for assistance. 
• Customer service will make reasonable efforts to address any issues or concerns raised by users in a timely and efficient manner. However, All I Want does not guarantee the availability of customer service at all times and is not liable for any damages or losses arising from any delay or failure to provide customer service.

14. Payout Fees:
• Instant Pay allows you to withdraw up to $1,000.00 usd per month. There is a 1% fee charged on the payout amount, with a minimum fee of $1.00. Processing time is around 30 minutes.
• Direct Deposit there is no fee for withdrawal of the amount of $25 usd or more. Processing time is 5 business days. A $2.00 fee is applied for amount less than $25 usd or if your bank can’t process the request. 

15. Taxes
• Taxes may be added to the purchase of an item, including taxes on the item itself and/or shipping costs.
• The amount of taxes may vary depending on factors such as the price and nature of the item, as well as the delivery location.
• Buyers will be able to view the applicable taxes before committing to the purchase.

16. The platform and its content, which includes text, graphics, logos, images, software, and trademarks, are the intellectual property of or its licensors and are safeguarded by intellectual property laws. Prior written consent from us is required for any usage, copying, or distribution of any part of the platform or its content.
17. Third Parties Services and Links
• All I Want may provide access to third-party services and links to other websites that are not owned or controlled by All I Want. All I Want has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party services or websites.
• You acknowledge and agree that All I Want shall not be responsible or liable, directly, or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such third-party service or website.
18. Disclaimers and Limitations of Liability
• All I Want provides the platform and its contents on an "as-is" and "as-available" basis.  does not provide any warranties or assurances about the accuracy, reliability, completeness, or timeliness of the information or content available on the platform.  makes no representations or warranties of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.
• All I Want is not responsible for any loss or damage that may arise from the use of the platform, including but not limited to loss of profits, data, or goodwill. You agree to use the platform and its contents solely at your own risk.
• In no event shall All I Want, its affiliates, licensors, partners, employees or directors be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement or the use of the platform, even if  has been advised of the possibility of such damages. This includes but is not limited to damages for loss of profits, use, data, or other intangible losses.
• All I Want will not be liable for any delay or failure in the performance of the platform or the delivery of any content or services resulting directly or indirectly from any cause or circumstance beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, strikes, lockouts, floods, fires, and other natural disasters.
• All I Want 's total liability for any claims arising out of or related to this Agreement or the use of the platform shall be limited to the amount of One Hundred Dollars ($100.00) or the amount you paid All I Want in the past 12 months for the use of the services, whichever is greater.
• You acknowledge and agree that the above disclaimers and limitations of liability are essential terms of this Agreement and that All I Want would not be able to provide the platform or its contents without these limitations. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages, so the above limitations and exclusions may not apply to you to the extent prohibited by law.
• If you have any questions regarding this section or any other part of this Agreement, please contact us for assistance.

19. Indemnity; Limitation of Liability
• By using the All I Want platform, you agree to indemnify, defend, and hold harmless All I Want and its affiliates, as well as their respective directors, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, that may arise from your use of the platform, your violation of these Terms of Service, or your infringement of any law or the rights of a third-party.
• This indemnification applies to any claims, damages, liabilities, costs, and expenses that may arise from any of your actions on the platform, including but not limited to the content you post or transmit, any transactions you make, and any interactions you have with other users. You agree to cooperate fully with All I Want in the defense of any such claims and to not settle any such claims without All I Want's prior written consent.
• Furthermore, you agree to promptly notify All I Want of any unauthorized use of your account, any breach of security, or any other breach of these Terms of Service that may affect All I Want or its users. All I Want reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with All I Want's defense of such claims.
• In summary, by using the All I Want platform, you acknowledge and agree to hold harmless All I Want, its affiliates, and their respective directors, officers, employees, and agents, from any claims, damages, liabilities, costs, and expenses that may arise from your use of the platform or any violation of these Terms of Service. 

20. Limitation of Liability on Disputes between users.
"ALL I WANT SHALL NOT BE LIABLE FOR ANY DISPUTES BETWEEN USERS ARISING FROM THE USE OF OUR SERVICE. USERS AGREE TO RELEASE, DEFEND, INDEMNIFY AND HOLD HARMLESS ALL I WANT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, AND ASSIGNS FROM ANY CLAIMS, LIABILITIES, DAMAGES, LOSSES, AND EXPENSES, INCLUDING WITHOUT LIMITATION REASONABLE ATTORNEYS' FEES, ARISING OUT OF OR IN CONNECTION WITH THE DISPUTES BETWEEN USERS. IN NO EVENT SHALL ALL I WANT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH THE DISPUTES BETWEEN USERS, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES."

21. Termination
• All I Want reserves the right to terminate or suspend your account, at any time and without prior notice, for any violation of these Terms of Service or for any other reason. You agree that All I Want will not be liable to you or any third-party for any termination or suspension of your account.


22. Limitation; Suspension or Termination
• All I Want reserves the right to terminate or suspend your account at any time and without prior notice, in its sole discretion, for any reason, including but not limited to any violation of these Terms of Service or any applicable law or regulation. All I Want may also terminate or suspend your account if it believes, in its sole discretion, that you have engaged in any fraudulent or illegal activity or that you have abused or misused the platform in any way.
• If All I Want decides to terminate or suspend your account, you acknowledge and agree that it will not be liable to you or any third-party for any damages or losses that may arise from such termination or suspension. All I Want may also refuse to provide access to the platform to anyone at any time, for any reason, without prior notice.
• If your account is terminated or suspended, you will no longer have access to the platform, and you will lose any information, data, or content associated with your account. All I Want may also remove any content or information associated with your account or terminate any pending transactions or offers.
• You agree to waive any claims or damages that may arise from the termination or suspension of your account, and you acknowledge that All I Want has no obligation to provide you with any notice prior to such termination or suspension.
• In summary, All I Want reserves the right to terminate or suspend your account at any time and without prior notice, for any reason, and you acknowledge and agree that All I Want will not be liable to you or any third-party for any damages or losses that may arise from such termination or suspension.
• In the event of the suspension or termination of your account, you will remain responsible for any pending fees, charges, or general obligations that you have assumed, including but not limited to any fees or charges associated with pending transactions or offers. You acknowledge and agree that any fees or charges that you have already incurred or that are due and payable at the time of termination or suspension will still be owed by you.
• Furthermore, you acknowledge and agree that All I Want may retain certain information related to your account and use it as necessary for legal and regulatory purposes, as well as for the prevention of fraud and other illegal activities. All I Want may also continue to use any feedback or suggestions that you have provided to improve its services.
• In summary, if your account is suspended or terminated, you will still be responsible for any pending fees, charges, or general obligations assumed. All I Want may also retain certain information related to your account and use it as necessary for legal and regulatory purposes.

23. Termination by You

• As a user of the All I Want platform, you may terminate your account at any time by following the instructions provided on the platform. Please note that terminating your account will not relieve you of any pending fees, charges, or general obligations that you have assumed.

24. Governing Law and Dispute Resolution
• These Terms of Service shall be governed by and interpreted in accordance with the laws of the state of Delaware, without giving effect to any principles of conflicts of law.
• Any dispute arising out of or relating to these Terms of Service, including its breach, termination, or validity, shall be resolved through binding arbitration in accordance with the rules and procedures of the American Arbitration Association. The arbitration shall take place in Wilmington, Delaware, and each party shall be responsible for their own costs and expenses related to the arbitration.

25. Complaint Notices

California residents may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.

26. Legal Disputes and Use of Arbitration
• Any legal dispute arising out of or related to these Terms of Service or your use of the All I Want platform shall be resolved through binding arbitration in accordance with the rules and procedures of the American Arbitration Association.
• b. The arbitration shall take place and be conducted in Delaware, USA, unless otherwise mutually agreed upon by the parties.
• c. The arbitration shall be conducted by a single arbitrator selected in accordance with the American Arbitration Association's rules and procedures.
• d. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
• The parties shall bear their own costs and expenses related to the arbitration, except that the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.
• Nothing in this clause shall prevent either party from seeking equitable relief from a court of competent jurisdiction, including without limitation, injunctive relief, in order to protect its intellectual property rights.
• Any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated or representative action.
• If any provision of this clause is found to be unenforceable, the remainder shall be enforced as fully as possible, and the unenforceable provision shall be deemed modified to the limited extent required to permit its enforcement in a manner most closely representing the intentions as expressed herein.
• If for any reason a claim proceeds in court rather than in arbitration, you and All I Want each waive any right to a jury trial.
• You and All I Want also agree that any relief sought must be individualized and may not be sought as a class, consolidated, or representative action. If this prohibition against class, consolidated, or representative actions is found to be unenforceable, then the entirety of this arbitration clause shall be null and void.

Prohibition of Class and Representative Actions and Non-Individualized Relief.
• You and All I Want agree that any legal dispute or claim arising out of or related to these Terms of Service or the use of the All I Want platform must be brought solely in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Unless you and All I Want agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
• You and All I Want agree that any legal dispute or claim arising out of or related to these Terms of Service or the use of the All I Want platform will be resolved through individual arbitration. This means that you and All I Want waive the right to bring any such claim in court or to have a jury trial. You and All I Want also waive the right to participate in any class action or class-wide arbitration, including any consolidated or representative arbitration proceeding.
• You and All I Want agree that any relief that is awarded to you or All I Want in any individual arbitration will be solely individualized relief, and may not include any form of class, consolidated or representative relief. The arbitrator may not award relief to, against or for the benefit of any person who is not a party to the arbitration proceeding. Any relief awarded by the arbitrator will be final and binding, and judgment may be entered upon it in any court having jurisdiction thereof.

27. Severability:
If any provision of this agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The parties agree to replace any invalid or unenforceable provision with a valid and enforceable provision that most closely approximates the intent and economic effect of the invalid or unenforceable provision. The invalidity or unenforceability of any provision will not affect the validity or enforceability of any other provision of this agreement.
28. Opt Out Procedure 
If you are a new user of our platform, you may opt-out of the arbitration clause and class action waiver by sending a written request to our customer support team within 30 days of creating your account. Your request should include your name, address, and a clear statement that you wish to opt-out of the arbitration clause and class action waiver. Send to ALL I WANT, INC. 4343 MacArthur Blvd, Newport Beach, CA, 92660, USA. Please note that opting-out does not affect any other provisions of these Terms of Service. If you do not opt-out within the specified time period, you will be bound by the arbitration clause and class action waiver.


These Terms of Service between you and All I Want represent the complete agreement and understanding between the two parties and supersede all prior agreements, whether oral or written. If any provision of these Terms of Service is deemed invalid or unenforceable, the remaining provisions will remain in effect. Any waiver of a breach of these Terms of Service will not be considered a waiver of any subsequent breach, and such waiver will only be valid if made in writing and signed by an authorized representative of All I Want.
